1. Service Description

JV Bot Club ("JVBC," "we," "us," or "the Service") provides subscribers with access to automated trading software that executes options and/or stock strategies on leveraged exchange-traded funds (ETFs) through the subscriber's personal Alpaca brokerage account. The Service is provided on a subscription basis and is a software automation tool only.

2. Eligibility & User Representations

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that:

• You are at least 18 years old and have the legal capacity to enter into a binding agreement;
• You are not prohibited from using the Service under the laws of your jurisdiction;
• You have prior experience with securities trading and understand the risks of leveraged instruments and options;
• You are acting on your own behalf and not on behalf of any undisclosed third party;
• You are not subject to U.S. or international sanctions, nor are you located in a jurisdiction subject to comprehensive U.S. sanctions (including but not limited to Cuba, Iran, North Korea, Russia, Syria, or the Crimea region);
• All information you provide during registration is accurate and complete; and
• You will immediately notify us if any of the foregoing representations becomes untrue.

We reserve the right to terminate any account where we have reason to believe these representations are false.

3. Not Financial Advice — No Investment Advisory Relationship

JV Bot Club is NOT a registered investment adviser, broker-dealer, financial planner, or financial intermediary of any kind. We are not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator.

Nothing on this website, in our software, or in any communication from JV Bot Club constitutes or should be construed as:

• Financial, investment, legal, or tax advice of any kind;
• A recommendation to buy, sell, or hold any security;
• An offer or solicitation to buy or sell any financial instrument; or
• A promise or guarantee of any particular financial outcome.

No fiduciary relationship, advisory relationship, or professional relationship of any kind is created between you and JV Bot Club by your use of the Service. You should consult a qualified, licensed financial advisor before making any investment decision. Any references to historical performance, returns, or strategy results are for informational purposes only and are not guarantees or predictions of future performance. All such statements are forward-looking and subject to risks and uncertainties that could cause actual results to differ materially.

4. Risk Warning — Read Carefully

Trading involves substantial risk of financial loss. You may lose your entire invested capital. Specific risks include but are not limited to:

• Leveraged ETF decay: Leveraged and inverse ETFs use daily rebalancing and are designed for short-term use. Due to compounding, they can lose significant value over time even if the underlying index remains flat or rises.
• Options risk: Options trading involves the risk of losing the entire premium paid and, for certain strategies, potentially unlimited losses.
• Market risk: Securities markets are volatile. Prices can move rapidly and unpredictably due to economic, political, regulatory, or other events beyond anyone's control.
• Automation risk: Automated trading systems can malfunction, experience connectivity failures, execute unintended trades, or fail to execute intended trades due to software bugs, network outages, API failures, or exchange errors.
• Strategy risk: No trading strategy guarantees profit. Past performance of any strategy is not indicative of future results.
• Liquidity risk: You may be unable to exit positions at desired prices during periods of low liquidity or extreme market volatility.
• Regulatory risk: Laws and regulations affecting trading, leveraged ETFs, or automated systems may change in ways that adversely affect your trading activity or the availability of the Service.
• Pattern Day Trader (PDT) rules: FINRA's Pattern Day Trader rules may apply to your account. You are solely responsible for understanding and complying with PDT requirements and any margin rules imposed by your broker.

Only use capital that you can afford to lose entirely. Do not trade with funds needed for living expenses, emergency reserves, retirement, or other essential purposes.

5. Assumption of Risk

By using the Service, you expressly acknowledge and agree that:

• You are voluntarily assuming all risks associated with automated trading, leveraged ETF strategies, and options trading;
• You have independently evaluated the suitability of this Service for your financial situation and risk tolerance;
• You are solely responsible for all investment decisions made through or in connection with the Service;
• JV Bot Club bears no responsibility for any financial losses, however caused, arising from your use of the Service; and
• You will not hold JV Bot Club liable for any outcome of trades executed by the Service on your behalf.

6. Regulatory Compliance

You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and rules in your jurisdiction, including but not limited to securities laws, tax laws, margin regulations, and regulations governing automated trading. The Service may not be appropriate or lawful for use in all jurisdictions. By using the Service, you represent that doing so is legal in your jurisdiction and that you are not subject to any sanction, debarment, or legal prohibition that would prevent you from participating in securities trading.

7. Tax Liability

You are solely responsible for all tax obligations arising from trading activity executed through the Service, including but not limited to short-term and long-term capital gains taxes, wash-sale rules, mark-to-market rules, and all applicable reporting requirements. JV Bot Club does not provide tax advice, does not report your trading activity to any tax authority on your behalf, and will not be liable for any tax consequences of your trading activity. Consult a qualified tax professional regarding your specific situation.

8. Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password, two-factor authentication codes, and Alpaca API keys. You agree to notify us immediately of any unauthorized access to your account. JV Bot Club will not be liable for any losses resulting from unauthorized account access caused by your failure to maintain adequate security of your credentials.

9. Third-Party Services

The Service relies on third-party platforms including Alpaca Securities LLC (brokerage execution) and Stripe, Inc. (payment processing). JV Bot Club is not affiliated with, endorsed by, or responsible for the actions, errors, outages, or failures of any third-party service. We are not liable for any losses arising from the unavailability, malfunction, or decisions of any third-party platform, including trade execution failures caused by Alpaca's systems or market conditions.

10. Intellectual Property

The trading strategy, algorithms, software, and all related intellectual property used in the Service are proprietary to JV Bot Club. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal trading during your active subscription. You may not copy, modify, reverse-engineer, decompile, disassemble, sublicense, sell, or otherwise exploit any part of the Service or its underlying strategy.

11. Subscription & Billing

Subscriptions are billed monthly at the stated rate and automatically renew until canceled. Charges are processed by Stripe. You may cancel at any time from Settings; cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods or for periods during which the Service was unavailable. We reserve the right to modify subscription pricing with reasonable notice. Continued use after a price change constitutes acceptance of the new price.

12. API Keys & Brokerage Account

You grant the Service permission to place orders in your Alpaca brokerage account using the API keys you provide. You remain solely responsible for your brokerage account, including all activity, margin requirements, account minimums, and compliance with Alpaca's own terms of service. You may revoke access at any time by removing your API keys from Settings or revoking them directly in Alpaca. JV Bot Club is not affiliated with Alpaca Securities LLC.

13. Force Majeure

JV Bot Club shall not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, regulatory changes, exchange outages, market halts, internet or infrastructure failures, cyberattacks, or pandemics. In such events, we will make reasonable efforts to restore the Service as quickly as possible.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY JV BOT CLUB SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JV BOT CLUB AND ITS OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any trading losses or loss of invested capital, regardless of cause;
• Any lost profits, lost revenue, or loss of business opportunity;
• Any indirect, incidental, special, consequential, exemplary, or punitive damages;
• Any damages resulting from service outages, API failures, software bugs, or unauthorized access to your account; or
• Any damages resulting from reliance on any information or output provided by the Service.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY; IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to indemnify, defend, and hold harmless JV Bot Club and its operators, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) any trading activity executed through your account; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any false representation you made in connection with your use of the Service.

17. Acceptable Use

You may not use the Service for any unlawful purpose, attempt to reverse-engineer the trading strategy or software, share account access with others, circumvent security measures, submit false information, or interfere with the Service's infrastructure or other users. Violation of this section may result in immediate termination and may be reported to relevant authorities.

18. Termination

We may suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion. Termination does not entitle you to a refund. Upon termination, your license to use the Service ends immediately and we may delete your account data. You may terminate by canceling your subscription through Settings.

19. Modifications to Terms

We may update these Terms at any time. We will notify registered users of material changes by email or in-app notice. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must cancel your subscription and stop using the Service.

20. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and JV Bot Club and supersede all prior agreements or understandings.
• Severability: If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
• No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in the future.
• Electronic Agreement: By creating an account, you consent to the formation of this agreement electronically and agree that your electronic acceptance is legally binding to the same extent as a written signature.
• Assignment: You may not assign your rights under these Terms. We may assign our rights and obligations without restriction.

21. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding individual arbitration under the rules of the American Arbitration Association (AAA). You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property, unauthorized access, or imminent harm.
